It was also reported that Qitian Technology's controlling shareholder, Colorful Rainbow, and Nvidia jointly launched a custom version graphics card for the game. After verification, the following explanations are given regarding the above reports: (1) On July 26, 2024, the company disclosed on the Giant Tide Information Network the "Notice on the Signing of the Shareholders' "Cooperative Framework Agreement", "Termination Agreement of Voting Rights Proxy Agreement", "Voting Rights Waiver Commitment Letter" and the company's signing of the "Conditional Effective Stock Subscription Agreement" as well as the prompt announcement of the proposed change of the controlling shareholder and actual controller. The company plans to change the controlling shareholder to Shenzhen Colorful Haoyue Technology Co., Ltd. and the actual controller to Mr. Wanshan after the implementation of the package arrangement of revoking voting rights proxy, waiving voting rights, and issuing shares to specific parties. As of now, the issuance of shares to specific parties and the change of control still require the approval of the anti-monopoly authority (if necessary), the approval of the Shenzhen Stock Exchange, and the registration approval from the China Securities Regulatory Commission. The approval and timing of these matters are uncertain. Investors are advised to pay attention to investment risks.
