Anyone interested in Fastly, Inc. (NYSE:FSLY) should probably be aware that the CEO & Director, Todd Nightingale, recently divested US$408k worth of shares in the company, at an average price of US$6.18 each. However, the silver lining is that the sale only reduced their total holding by 3.8%, so we're hesitant to read anything much into it, on its own.

The Last 12 Months Of Insider Transactions At Fastly

The Co-Founder, Artur Bergman, made the biggest insider sale in the last 12 months. That single transaction was for US$1.7m worth of shares at a price of US$16.87 each. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The silver lining is that this sell-down took place above the latest price (US$6.46). So it may not shed much light on insider confidence at current levels.

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. Insiders own 7.4% of Fastly shares, worth about US$67m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

What Might The Insider Transactions At Fastly Tell Us?

Fastly

Insiders sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. Case in point: We've spotted 3 warning signs for Fastly you should be aware of.
