78% Of This CarGurus Insider's Holdings Were Sold

Simply Wall St ·  Aug 30 07:58

Looking at CarGurus, Inc.'s (NASDAQ:CARG ) insider transactions over the last year, we can see that insiders were net sellers. That is, there were more number of shares sold by insiders than there were purchased.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

CarGurus Insider Transactions Over The Last Year

Notably, that recent sale by Greg Schwartz is the biggest insider sale of CarGurus shares that we've seen in the last year. That means that even when the share price was below the current price of US$29.00, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was 78% of Greg Schwartz's holding.

Greg Schwartz divested 23.50k shares over the last 12 months at an average price of US$26.03. Over the last three months, we've seen significant insider selling at CarGurus. In total, Independent Director Greg Schwartz dumped US$311k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership Of CarGurus

For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It's great to see that CarGurus insiders own 17% of the company, worth about US$506m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
