继续开发该等物业将须由集团作出进一步投资。鉴于严峻的市场环境，集团不适宜进一步投资及支持该等物业的持续开发。该等出售事项将解除集团开发该等物业的进一步责任并将可令集团利用来自买方收取的代价偿还债务及支持其日常运营。On September 4th, Grantham(HK:03688) announced that on September 4th, 2024, (i) the Seller, Buyer A, and the Company entered into the MB Agreements and the MB Sale Loan Assignment Deed, whereby the Seller agreed to sell and Buyer A agreed to purchase MB Sale Shares (equivalent to 10% of the total issued shares of MB) and transfer the MB Sale Loan, at a price of HKD1.00 and HKD59.7 million, respectively; and (ii) the Seller, Buyer B, and the Company entered into the PL Agreements and the PL Sale Loan Assignment Deed, whereby the Seller agreed to sell and Buyer B agreed to purchase PL Sale Shares (equivalent to 10% of the total issued shares of PL) and transfer the PL Sale Loan, at a price of HKD1.00 and HKD2,179,999.00, respectively.
MB and PL are limited companies registered in Hong Kong and mainly engaged in property development. The main assets of MB and PL are the development sites located at Lot A, Eighteen Village Road, Yuen Long, and Lot B, Tai Tong Road. The estimated gross floor areas of Lot A and Lot B are approximately 245,032 square feet and 36,415 square feet, respectively.
The group sold 50% and 40% respectively of the equity interests in MB and PL on June 30, 2021, and August 31, 2022.
Further investment will be required to continue the development of these properties. Due to the severe market environment, the group is not suitable for further investment and support in the continued development of these properties. The sale of these properties will release the group from further responsibility for the development of these properties and allow the group to use the consideration received from the buyers to repay debts and support its daily operation.
