Denso Co., Ltd. (Headquarters: Kariya-shi, Aichi; President: Hayashi Shinnosuke; hereafter, Denso) undertakes all shares of Nippon Mirai Capital Co., Ltd. (Headquarters: Iwata-shi, Shizuoka-ken; President: Yukio Yamaguchi; hereafter, Nippa), which is a Denso group company, to a special purpose company (Headquarters: Chiyoda-ku, Tokyo; President: Akira Yasushima; hereafter, Nippon Mirai Capital) is fully invested by a fund operated by Nippon Mirai Capital I've decided to do it. Furthermore, the succession on 2024/9/30 (transfer of all Nippon shares held by Denso) and the conversion of Nippa into a wholly owned subsidiary by Nippa HD on 10/1 of the same year were resolved at Nippa's extraordinary general shareholders' meeting held today.
Since its establishment in 1936 as Nippon Packing Manufacturing Co., Ltd., Nipper's main business has been manufacturing differential thickness presses*1, high-difficulty precision presses, multi-layer insert molding processing, and radiator caps. Nipper, which has strengths in manufacturing such high-precision parts and possesses advanced technology, has further enhanced its competitiveness and business growth through joint development of thick aperture press processing, etc. since participating in Denso's capital in 1992.
Meanwhile, as the environment surrounding business changes, such as the spread of electrification and advances in autonomous driving technology, Denso and Nippa have been repeatedly examining the direction of social value creation and sustainable business growth. This succession has determined that it is optimal for Nippon Mirai Capital, which has a wide range of experience in supporting growth strategies in the manufacturing industry, to utilize the technology and skills that Nipper has accumulated so far, and to expand business into non-automotive areas in addition to existing automotive businesses, in addition to existing automotive businesses.
Denso will continue to promote changes in its business portfolio, and will actively work to maintain and strengthen the supply chain based on the future business plans of its business partners, and contribute to the further development of the mobility society.
