Couchbase Insiders Sell US$2.4m Of Stock, Possibly Signalling Caution

A number of Couchbase, Inc. (NASDAQ:BASE) insiders sold their shares in the last year, which may have raised concerns among investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Couchbase

The Chair, President & CEO, Matthew Cain, made the biggest insider sale in the last 12 months. That single transaction was for US$446k worth of shares at a price of US$23.59 each. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$14.19. So it may not tell us anything about how insiders feel about the current share price.

Insider Ownership Of Couchbase

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Insiders own 3.2% of Couchbase shares, worth about US$24m.
