GeLongHui September 20th | Bomin Electronics (603936.SH) announced that in order to cultivate high-quality outsourced suppliers, optimize and improve the efficiency and quality of the company's outsourced service procurement, and reduce the cost of outsourced procurement, the company and the shareholder Xiong Dongmei signed the "Framework Agreement on the Acquisition of Meizhou Bouchuang Electronics Co., Ltd." on September 20, 2024 (hereinafter referred to as the 'Framework Agreement'). In view of the good expectations of the two parties in business, customers, production capacity, and other aspects in the future, both parties have reached an intention agreement on the company's proposed acquisition of 86.8535% equity of Bouchuang Electronics with cash not exceeding RMB 250 million. The final transaction price is based on the audited net assets of Bouchuang Electronics corresponding to the equity of the target, and is determined with reference to the asset-based valuation of the equity of the target, to be negotiated by both parties. If the acquisition is completed, the company will hold 100% of the equity of Bouchuang Electronics, and Bouchuang Electronics will become a wholly-owned subsidiary of the company.
Bouchuang Electronics is one of the few local companies in Meizhou with full-process capability of HDI boards. Its geographical location is close to the company and it is a company with strong comprehensive strength in HDI technology and production capacity in Meizhou. In particular, in the aspect of HDI, it has good expectations for synergistic and win-win development with the company in the future in terms of business, customers, and production capacity, and can better alleviate the company's structural production capacity bottleneck during the HDI peak season; on the other hand, acquiring Bouchuang Electronics is conducive to reducing the external procurement links in the production of some products, reducing the scale and cost of external service procurement, optimizing and improving the efficiency and quality of the company's related product production.
