Truly int'l (00732.HK) announced on September 25th that, regarding the establishment of a joint venture company for AMOLED, the company has been in discussions with other parties to the shareholder agreement and the AMOLED joint venture agreement since the signing of the AMOLED joint venture agreement. The agreement will come into effect and be legally binding after meeting (or waiving) certain conditions, and must be approved by the shareholders at the upcoming special general meeting before taking effect. Considering changes in the market situation and the passage of a considerable amount of time since the signing of the AMOLED joint venture agreement, on September 13, 2024, the parties to the agreement entered into a termination agreement to terminate the AMOLED joint venture agreement. The parties to the agreement have released all rights, obligations, and commitments under the AMOLED joint venture agreement. Neither party is required to pay any termination fees or other compensation for terminating the AMOLED joint venture agreement.
