On September 30, Gelon Hui announced that on September 30, 2024, Beijing VRV Software Corporation (300352.SZ) signed an Equity Transfer Agreement with Mr. Lin Hao, the actual controller and chairman of the company. The company plans to transfer 5% equity of its wholly-owned subsidiary Beijing VRV System Integration Co., Ltd. (hereinafter referred to as "VRV System Integration") to Mr. Lin Hao. After the transfer, the company will hold 95% equity of VRV System Integration.
With reference to the asset financial condition of VRV System Integration, after equal and friendly negotiations between the company and Mr. Lin Hao, the price for the transfer of 5% equity of VRV System Integration held by the company is set at 10 million Chinese yuan, not less than the actual Paid-in capital of the company in VRV System Integration, and not less than the corresponding shareholder equity amount of the company in VRV System Integration; After this transfer, the company will still hold 95% equity of VRV System Integration and remain the controlling shareholder.
