Have Insiders Sold Travelzoo Shares Recently?

Simply Wall St ·  Oct 28, 2024 18:46

Some Travelzoo (NASDAQ:TZOO) shareholders may be a little concerned to see that the Founder & Chief Talent Officer, Ralph Bartel, recently sold a substantial US$2.0m worth of stock at a price of US$15.19 per share. However, that sale only accounted for 2.7% of their holding, so arguably it doesn't say much about their conviction.

Travelzoo Insider Transactions Over The Last Year

In fact, the recent sale by Ralph Bartel was the biggest sale of Travelzoo shares made by an insider individual in the last twelve months, according to our records. So it's clear an insider wanted to take some cash off the table, even slightly below the current price of US$15.41. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was only 2.7% of Ralph Bartel's holding.

Insider Ownership Of Travelzoo

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Insiders own 40% of Travelzoo shares, worth about US$75m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Does This Data Suggest About Travelzoo Insiders?

Insiders haven't bought Travelzoo stock in the last three months, but there was some selling. And there weren't any purchases to give us comfort, over the last year. But since Travelzoo is profitable and growing, we're not too worried by this. Insiders own shares, but we're still pretty cautious, given the history of sales. We'd practice some caution before buying! So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. Every company has risks, and we've spotted 1 warning sign for Travelzoo you should know about.
