Nanning Branch for the development and operation management of Nanning Children's Hospital, without following the company's board of directors and shareholder meeting approval procedures.
According to financial news app, Nanfang Black Sesame Group (000716.SZ) disclosed a notice about the abnormal fluctuations in stock trading. The company, due to providing guarantee for a loan from Guangfa Bank Co., Ltd. Nanning Branch, with 36.41% equity held in Guangxi Guangtou Guoyi Investment Co., Ltd., for the development and operation management of Nanning Children's Hospital (Nanning Children's Hospital) to Guangfa Bank Co., Ltd. Nanning Branch, has not followed the company's board of directors and shareholder meeting approval procedures.
It is reported that due to a dispute arising from loans between Guangfa Bank Co., Ltd. Nanning Branch and Nanning Children's Hospital, Guangfa Bank Co., Ltd. Nanning Branch has filed a lawsuit with the Nanning Intermediate People's Court, where the court ruled that the 'Maximum Amount Right Pledge Contract' signed between the company and Guangfa Bank Co., Ltd. Nanning Branch is an invalid contract. However, the court made a first-instance judgment that the company bears half of the compensation responsibility for the part where Nanning Children's Hospital's debt at Guangfa Bank Co., Ltd. Nanning Branch cannot be repaid. According to the relevant rules of the listing rules, if the company fails to come up with a feasible solution for the above matters within one month or even if a solution is proposed but not expected to be resolved within one month, the stock trading of the company will be subject to other risk warnings.
