Have SmartFinancial Insiders Been Selling Stock?

Anyone interested in SmartFinancial, Inc. (NYSE:SMBK) should probably be aware that the Independent Director, Steven Tucker, recently divested US$223k worth of shares in the company, at an average price of US$33.14 each. The eyebrow raising move amounted to a reduction of 10% in their holding.

SmartFinancial Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Independent Director, John Presley, sold US$320k worth of shares at a price of US$21.34 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$35.63. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 25% of John Presley's stake.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Insiders own 16% of SmartFinancial shares, worth about US$98m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About SmartFinancial Insiders?

Insiders haven't bought SmartFinancial stock in the last three months, but there was some selling. Despite some insider buying, the longer term picture doesn't make us feel much more positive. Insider ownership isn't particularly high, so this analysis makes us cautious about the company. We're in no rush to buy!
