On November 12, Grong Hu announced that Huasheng Intl Holdings (01323.HK) signed a purchase agreement with the seller on November 12, 2024. According to the agreement, the buyer has agreed to acquire and the seller has agreed to sell the shares for sale (representing 4.52% of the issued Class A shares of the target company Wisdom Moon (BVI) Limited), for a price of 45 million Hong Kong dollars.

The target company is a limited company registered in the British Virgin Islands. The target company is an investment holding company, mainly invested in Wisdom Group Holdings Limited. As of the announcement date, the target company holds voting rights in ordinary shares (accounting for approximately 43.28% of the issued share capital of Wisdom Group (including approximately 75.38% of voting rights in ordinary shares and approximately 24.62% of voting rights in preferred shares)).

According to the information provided by Wisdom Group, Wisdom Group mainly engages in the design and manufacturing of zero-emission commercial vehicles, supplying Battery Electric Vehicles (BEV) and Fuel Cell Electric Vehicles (FCEV).

The company believes that the new energy transformation of commercial vehicles is still lagging behind, while the green transformation of commercial BEV and FCEV industries continues to unfold with tremendous market potential, as hydrogen is one of the key clean energy solutions for medium and heavy-duty commercial vehicles. It is expected to accelerate the adoption of FCEV in the coming years. The target group has the ability to export BEV and/or FCEV overseas using China's low-cost and high-efficiency supply chain advantages. Indeed, the target group has achieved significant success in the zero-emission commercial vehicle market. It has successfully launched the world's first hydrogen-powered double-decker bus for public use in Hong Kong; successfully exported the world's first hydrogen fuel heavy-duty truck to Australia; and successfully entered the market of the Gulf Cooperation Council countries by introducing the first 12-meter hydrogen-powered city bus.

After considering (i) the future prospects of the zero-emission commercial vehicle market as mentioned above; (ii) the target group's cutting-edge automotive technology company capable of designing and supplying smart zero-emission vehicles globally; (iii) the past strength and design capabilities of the target group; and (iv) the background of other shareholders of Wisdom Group, the board of directors believes that the acquisition increases the company's indirect equity stake in the target company, providing a valuable investment opportunity for the group and diversifying business opportunities in the zero-emission commercial vehicle market.
