SHIFT Inc. (Headquartered in Minato-ku, Tokyo, President: Hiroshi Tange, hereinafter referred to as "SHIFT") has decided to appoint company executives after the regular shareholders' meeting scheduled for November 28, 2024, and this is an announcement of individual stocks. This executive appointment is based on the approval of the selection of directors by the shareholders at the regular shareholders' meeting.
SHIFT is accelerating its further business expansion with the goal of achieving 100 billion yen in revenue for the fiscal year ending August 2024. While steadily operating the business as a company amidst achieving sustainable high growth and gradually changing the business stage, strengthening the management foundation to thoroughly consider and realize the next aggressive global strategy is one of the key areas SHIFT should focus on now.
This time, considering the themes necessary to achieve SHIFT's growth strategy aiming for 300 billion yen and 500 billion yen in revenue, as well as further goals, some changes will be made to the executive appointments.

2. Reason for Change of Responsibilities
In this executive personnel matter, the changes in responsibilities for Mr. Sasaki and Mr. Hattori have been decided.
Mr. Sasaki has experience leading the rapid growth phase of a currently representative company of japan in his previous position, which is why he has participated as an external director of SHIFT since November 2018 and became an internal director in November 2020. Since taking the position of internal director, he has particularly overseen the sales area, leading sales reform that delves into structuring, KPI setting, and compensation design.
In aiming to achieve "SHIFT3000" and further "SHIFT5000," SHIFT believes that further strengthening governance as an owner company is necessary, and has changed Mr. Sasaki's role from Vice President to Chairman of the Board of Directors to broadly supervise SHIFT's management determinations.
The intention behind appointing Mr. Sasaki as Chairman of the Board of Directors is as follows:
① Further strengthening and constructing relationships with external parties necessary for "SHIFT3000".
② Based on past experiences and insights gained through activity ①, providing suggestions and perspectives to founder and president Tange to become a company that japan can be proud of.
③ Appointing the chairperson of the board of directors to strengthen governance as a company with an audit committee.
Since its founding in 2005, SHIFT has expanded its business scale through recruitment activities exceeding 2,000 people annually, attracting expectations from many as a "rapidly growing venture company." In the future, with Mr. Sasaki, whose main responsibility will be fostering top-level exchanges and strengthening relationships with external entities to drive the growth of the SHIFT group, we aim for transformation into a "company that japan can be proud of."
Mr. Hattori joined SHIFT as an Executive Officer and CFO in July 2021, based on his achievements in leading the rapid growth of a recruitment platform company as CFO. He became an Executive Director and CFO in November of the same year. In March 2022, he was appointed as the representative director of SHIFT Growth Capital Co., Ltd. (headquartered in Minato-ku, Tokyo), and has overseen the financial aspects of the SHIFT group, including M&A and IR, solidifying the management foundation of the SHIFT group.
Recently, Mr. Hattori expressed concerns regarding his health about continuing as a full-time company executive. However, as a result of discussions between Mr. Hattori and SHIFT, it was determined that it is necessary for Mr. Hattori to continue as a director, and therefore, his position will be changed from a full-time director to a part-time director. Moving forward, he will mainly be tasked with overseeing the governance structure focused on "SHIFT3000."
Furthermore, since Mr. Hattori joined SHIFT, the management foundation has been solidified, and appropriate delegation of authority has progressed through the recruitment of accounting, finance, and legal executives, as well as member development, so there will be no impact on company operation.
With this appointment of company executives, the SHIFT group will strive for further enhancement of corporate value.
