Gelonghui, November 15, 丨 Shuifa Gas (603318.SH) announced that the company recently received a notice from Shuifa Zhongxing Group Co., Ltd. (hereinafter referred to as “Zhongxing Group”), the controlling shareholder of the company. In order to optimize the management level of state-owned enterprises and enhance the internal functional positioning of listed companies in Shuifa Group Co., Ltd. (hereinafter referred to as “Shufa Group”), Zhongxing Group plans to transfer shares of listed companies to its controlling shareholder Shuifa Group Group and Shufa Gas Group Co., Ltd. (hereinafter referred to as “Gas Group”), a wholly-owned subsidiary of Shufa Group, and signed the “Gas Group” on November 14, 2024 “Share Transfer Agreement”. This change in equity will result in the controlling shareholder of the listed company being changed from Zhongxing Group to Shuifa Group. The actual controller of the company is still the State-owned Assets Supervision and Administration Commission of the Shandong Provincial People's Government. Shuifa Group, the controlling shareholder of the listed company, will join forces to add the Human Gas Group.

Zhongxing Group plans to transfer 120,950,353 shares of listed companies (26.35% of the total share capital) to Shufa Group and Gas Group. Among them, 111,768,935 shares of listed companies (24.35% of the total share capital) will be transferred to Shufa Group, and 9,181,418 shares of listed companies (2.00% of the total share capital) will be transferred to Gas Group. There was no change in the total number of shares held and control ratio of the controlling shareholders of listed companies and their co-actors before and after this change in equity.
