(referred to as "Changzhou Jiaokong"), agreeing to jointly invest in establishing Jiangsu Danjin Expressway Co., Ltd. (tentative name, referred to as "Danjin Company"), responsible for the investment, construction, and operation management of the Danjin project.
The scope of the project planned for investment and construction in this agreement is as follows: starting from the intersection of Shanghai-Rong Expressway and Danyang New Area Hub, connecting to the existing Zhenjiang to Danyang Expressway to the north, passing through Danyang East, Erling, Jintan East, Jiaze to the south, ending at the Jintan Economic Development Zone Hub intersecting with Shanghai-Wuhan Expressway, connecting to the existing Changzhou to Liyang Expressway. The total length of the route is 41.35 kilometers, with a 28.627-kilometer section in Danyang and a 12.723-kilometer section in Changzhou.
According to the feasibility study and preliminary approval documents of the Danjin project and relevant opinions of the provincial government, the estimated total investment of Danjin Expressway is 14,562.8186 million yuan, with project capital of 5,825.12744 million yuan, accounting for 40% of the total investment. Based on the actual construction funding needs of the project, the initial registered capital of Danjin Company is tentatively set at 1,704 million yuan, with the company contributing 1,271.18 million yuan, accounting for 74.6%, and Changzhou Jiaokong contributing 432.82 million yuan, accounting for 25.4%.
In the later stages, each investor will increase the capital and expand the shares of Danjin Company according to the project's construction needs and actual progress, until the registered capital of Danjin Company reaches the approved capital amount of the project (if there is a reduction in the project investment budget, the registered capital should generally not exceed 40% of the adjusted total investment budget). If the final completion settlement amount exceeds the approved estimated amount, the final registered capital after adjustment shall not exceed 40% of the total investment amount confirmed by the final accounts. For the portion exceeding the original estimate, each investor should increase the capital within their respective shareholding ratios.
