TKP <3479> announced on the 14th that it will acquire common stock of Nova Ltd <2128> through a tender offer (TOB) under the Financial Instruments and Exchange Act and enter into a capital and business alliance agreement.
The company aims to increase its investment ratio in Nova Ltd, a major wedding venue operator, from the current 33% to over 51.78% through a TOB, with the goal of making it a consolidated subsidiary.
TKP operates rental meeting rooms and lodging training facilities, while Nova Ltd operates wedding facilities mainly in convenient urban areas.
The two companies will engage in initiatives to enhance mutual corporate value, such as joint store openings, increased use of wedding venues on weekdays, and human interaction to complement each other's resources.
Even after the TOB is completed and Nova Ltd becomes a consolidated subsidiary, the company intends to maintain Nova Ltd's listing, create a structure to incorporate diversifying bridal services under the current management's leadership.
TKP plans to purchase common stock of Nova Ltd at 380 yen per share. The minimum planned purchase rate is 18.78%, with a maximum of 27.00%. In connection with the tender offer, TKP has entered into tender offer acceptance contracts with Polaris No. 3 Investment Business for 3,529,482 shares (14.12% ownership ratio of the total issued shares) and Tiara CG Private Equity Fund 2013, L.P. for 1,164,418 shares (4.66%).
