According to Zhitong Finance App, Guotai Junan (02611) and Haitong Securities (06837) jointly announced that on November 18, 2024, the General Administration of Market Supervision has decided not to carry out further review of the centralized anti-monopoly review of operators related to the proposed merger. That is, paragraph (c) of the implementation conditions for the merger agreement has been reached, and all necessary Chinese antitrust declarations submitted to the General Administration of Market Regulation for the proposed merger have been reviewed and approved.
On November 19, 2024, the Shanghai State-owned Assets Administration Commission issued a response on matters relating to the exchange of shares by Guotai Junan Securities Co., Ltd. to absorb and merge with Haitong Securities Co., Ltd. and to raise supporting capital. It agreed in principle to the overall plan for the proposed merger and proposed issuance.
