Possible Bearish Signals With Tyler Technologies Insiders Disposing Stock

Simply Wall St ·  14:04

In the last year, many Tyler Technologies, Inc. (NYSE:TYL) insiders sold a substantial stake in the company which may have sparked shareholders' attention. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

Tyler Technologies Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Executive Chairman of the Board, John Marr, sold US$3.3m worth of shares at a price of US$430 per share. That means that an insider was selling shares at slightly below the current price (US$601). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 12% of John Marr's holding.

Does Tyler Technologies Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Tyler Technologies insiders own 0.5% of the company, currently worth about US$130m based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Does This Data Suggest About Tyler Technologies Insiders?

There haven't been any insider transactions in the last three months -- that doesn't mean much.
