The transaction is expected to close by the end of 2024, pending the fulfillment of certain conditions as outlined in the Letter of Intent, including the drafting and execution of a definitive purchase agreement by the parties. The Letter of Intent will terminate if the parties do not enter into a definitive purchase agreement in the 90-day period following the date of the Letter of Intent, unless the parties mutually agree to extend such period.
