Gelonghui Dec.4 hongbo co.,ltd. (002229.SZ) announced that its wholly-owned subsidiary Yingbo Shuke, Beijing Jingneng, and Jingneng Haibei and other parties have recently signed the "Revision Agreement of the Supplementary Agreement on the Procurement of Equipment for the Construction of the Smart Computing Center" and the "Debt Offset Agreement" after reaching a consensus through negotiations on the purchase of equipment for the construction of the smart computing center. It was agreed to adjust elements such as the original contract price. The main adjustments are as follows:
Due to the jiegoutiaozheng of Beijing Jingneng, all its rights and obligations in the original contract were taken over by Jingneng Haibei, and Beijing Jingneng is no longer the contracting party.
Equipment model adjustment: Change the equipment model corresponding to the 1024PFLOPS computing power of the Phase I project of the smart computing center and the quantity of some supporting equipment. The contract transaction amount is changed from 0.999682 billion yuan to 0.645633 billion yuan, while the computing power remains the same.
Yingbo Shuke should pay a total of 41.0801 million yuan to Beijing Jingneng as liquidated damages and compensation, including 31.7899 million yuan for overdue delivery liquidated damages and 9.2902 million yuan for compensation for fund occupation.
Newly added delivery and technical service time: After the signing of the supplementary agreement, Yingbo Shuke should deliver all equipment to the designated location within 5 working days, and complete the delivery within 15 working days of delivery acceptance.
5% of the adjusted agreement amount, namely 32.2817 million yuan, is reserved as a quality guarantee deposit. The warranty period is 1 year from the date of equipment arrival, installation, and acceptance.
Yingbo Shuke should fulfill its financial payment obligations under the original contract and subsequent supplementary agreements by the agreed date, otherwise, it should pay daily overdue payment liquidated damages at the rate of 3% from the date of default.
Newly added maintenance clause: Yingbo Shuke provides 3 years of free maintenance for AI computer clusters and supporting IB network equipment, and 5 years of free original factory maintenance for other equipment and software products.
Meanwhile, Yingbo Numerical Technology signed a Debt-for-Debt Offset Agreement with Jingneng Haibei and a third party. Under certain conditions, Yinbo Numerical Technology should use 0.258194 billion yuan of receivable contract amount in the agreement to offset the unpaid debts and quality deposits of 0.227474 billion yuan to Jingneng Haibei.
