On December 4, Gelonghui announced that Sichuan Road & Bridge Group (600039.SH) disclosed that Sichuan Shudao Mining Group Co., Ltd. (hereinafter referred to as Mining Group) and Sichuan Road & Bridge Mining Investment Development Co., Ltd. (hereinafter referred to as Road & Bridge Mining) are both subsidiaries of the company. Among them, the company holds 80% of the Mining Group's shares, while its wholly-owned subsidiary Sichuan Highway and Bridge Construction Group Co., Ltd. (hereinafter referred to as Road & Bridge Group) holds 20% of the Mining Group's shares; Road & Bridge Group holds 60% of the equity of Road & Bridge Mining, and the company's controlling shareholder Shudao Investment Group Co., Ltd. (hereinafter referred to as Shudao Group) holds 40% of the equity of Road & Bridge Mining.
Road & Bridge Group plans to transfer its 20% shares in the Mining Group, valued at 651.2606 million yuan, to Shudao Group through a non-public agreement, while Shudao Group will contribute 714.3181 million yuan for its 40% equity in Road & Bridge Mining and 2541.985 million yuan in mmf, totaling 3256.3031 million yuan for the capital increase in the Mining Group, of which 3000 million yuan will be included in the registered capital of the Mining Group, and 256.3031 million yuan will be included in the capital reserve. After the capital increase is completed, Road & Bridge Group will transfer its 20% equity in Road & Bridge Mining, valued at 357.1591 million yuan, to the Mining Group through a non-public agreement.
After the completion of the aforementioned trade, the registered capital of the Mining Group will increase from 3000 million yuan to 6000 million yuan, with Shudao Group and the company holding 60% and 40% of the shares respectively, making Shudao Group the controlling shareholder of the Mining Group; moreover, the equity structure of Road & Bridge Mining will change to 60% held by the Mining Group and 40% held by Road & Bridge Group. The company will no longer include the Mining Group and Road & Bridge Mining in the consolidated financial statements.
