Gelonghui December 13丨Zhuhai Guanyu (688772.SH) announced that to enhance Zhejiang Guanyu's sustainable operation and development capabilities and to supplement its working capital, the company held the third special meeting of the second session of independent directors and the twenty-fourth meeting of the second Board of Directors on December 8 and December 13, 2024, respectively, to review and approve the proposal on the capital increase and related transactions of the holding subsidiary, agreeing for the company and this round of investors (including their designated investment entities) to increase capital for Zhejiang Guanyu at a pre-investment valuation of 3,075.3 million yuan. Among them, Zhuhai Guanyu intends to increase capital by 200 million yuan, Haiyan Yunhao Selected Private Equity Partnership (Limited Partnership) (hereinafter referred to as "Haiyan Yunhao") intends to increase capital by 50 million yuan, Jiaxing Yunbai Private Equity Partnership (Limited Partnership) (hereinafter referred to as "Yunbai Fund") intends to increase capital by 250 million yuan (where the company's wholly-owned subsidiary Zhuhai Guoming Investment Co., Ltd. as a limited partner of Yunbai Fund will contribute 50.4 million yuan, of which 50 million yuan will be invested in Zhejiang Guanyu), Hangzhou Haoyue intends to increase capital by 200 million yuan, and other investors intend to increase capital by 200 million yuan, with the total capital increase amount not exceeding 900 million yuan, and the final capital increase amount will be based on the actual occurrence. Other shareholders with preferential subscription rights have confirmed their waiver of the preferential subscription rights for this capital increase. After the completion of this capital increase, Zhejiang Guanyu will still be a holding subsidiary of the company and will not affect the scope of the company's consolidated financial statements.
