On December 16, Gelonghui reported that LUXXU GROUP (01327.HK) announced the establishment of an Independent Director Committee composed of all independent non-executive directors (namely, Yu Junmin, Zhong Weili, and Duan Baili) to provide opinions to independent shareholders on whether the terms of the rights issue are fair and reasonable and in the overall best interest of the company and shareholders, as well as to advise independent shareholders on how to vote at the special general meeting.
On the same day, it was announced that on December 16, 2024, Rongao Financial Limited (a licensed corporation approved by the SFC to conduct regulated activities under the Securities and Futures Ordinance for Type 1 (Securities Trading) and Type 6 (Providing Advice on Corporate Finance)) has been appointed as the independent financial advisor to provide opinions to the Independent Director Committee and independent shareholders on whether the terms of the rights issue are fair and reasonable. The appointment of the independent financial advisor has been approved by the Independent Director Committee.
