EBay Insiders Sell US$3.3m Of Stock, Possibly Signalling Caution

Simply Wall St ·  Dec 18 22:07

The fact that multiple eBay Inc. (NASDAQ:EBAY) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At eBay

The insider, Marie Huber, made the biggest insider sale in the last 12 months. That single transaction was for US$2.4m worth of shares at a price of US$49.63 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$64.23. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 22% of Marie Huber's holding.

Insiders in eBay didn't buy any shares in the last year. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. By clicking on the graph below, you can see the precise details of each insider transaction!

Insiders At eBay Have Sold Stock Recently

The last quarter saw substantial insider selling of eBay shares. In total, VP, Chief Accounting Officer & Principal Accounting Officer Rebecca Spencer dumped US$113k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Does eBay Boast High Insider Ownership?

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. eBay insiders own about US$97m worth of shares. That equates to 0.3% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
