Gen Digital Insiders Sell US$8.7m Of Stock, Possibly Signalling Caution

Many Gen Digital Inc. (NASDAQ:GEN) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Gen Digital

The CEO, President & Director, Vincent Pilette, made the biggest insider sale in the last 12 months. That single transaction was for US$4.6m worth of shares at a price of US$25.54 each. That means that an insider was selling shares at slightly below the current price (US$29.38). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was only 8.9% of Vincent Pilette's holding.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Gen Digital insiders own about US$1.7b worth of shares (which is 9.2% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

There haven't been any insider transactions in the last three months -- that doesn't mean much. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Gen Digital insider transactions don't fill us with confidence.
