GUDOU HLDGS (08308.HK) announced on December 19 that the Board of Directors has been informed by Harvest Talent Investments Limited ("Harvest Talent"), the company's major shareholder fully owned by Executive Director Han Zhiming, that Harvest Talent has entered into a sale and purchase agreement with (i) JYH Hong Kong Limited ("JYH Hong Kong") on December 19, 2024 (before trading hours). According to the sale and purchase agreement, Harvest Talent has agreed to sell, and JYH Hong Kong has agreed to purchase a total of 0.228 billion shares of the company's common stock, representing approximately 19.93% of the company's existing issued share capital. The transaction will be settled as follows: (i) 0.14 billion shares will be traded at the date of signing the agreement ("First Completion"); and (ii) the remaining 88 million shares will be traded within 30 days from the date of the agreement (or any other date agreed upon by the parties to the transaction).
