Over the past year, many Kennametal Inc. (NYSE:KMT) insiders sold a significant stake in the company which may have piqued investors' interest. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.
Kennametal Insider Transactions Over The Last Year
The VP & Chief Administrative Officer, Judith Bacchus, made the biggest insider sale in the last 12 months. That single transaction was for US$940k worth of shares at a price of US$29.37 each. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$24.98. So it is hard to draw any strong conclusion from it.
Over the last year we saw more insider selling of Kennametal shares, than buying. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. Insider Ownership Of Kennametal
For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Kennametal insiders own about US$23m worth of shares. That equates to 1.2% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
