China (688012.SH) announced that Super Micro Company is a subsidiary of the company, with a registered capital of 42.5 million yuan. Advanced Micro-Fabrication Equipment Inc. China has contributed 25.5 million yuan, holding 60%; Jiaxing Juwei Investment Management Partnership (Limited Partnership) (hereinafter referred to as 'Juwei Partnership') has contributed 10 million yuan, holding 23.53%; BEAMVISION PTE. LTD. (hereinafter referred to as 'BEAMVISION') has contributed 4.5 million yuan, holding 10.59%; and individual JU JIN has contributed 2.5 million yuan, holding 5.88%.
Yin Zhiyao and Zhonghe Partnership plan to invest 7.5 million yuan in Super Micro Company through capital increase, with Yin Zhiyao contributing 2.5 million yuan and Zhonghe Partnership contributing 5 million yuan.
After the capital increase is completed, the registered capital of Super Micro Company will be 50 million yuan, of which: Advanced Micro-Fabrication Equipment Inc. China has contributed 25.5 million yuan, holding 51%; Juwei Partnership has contributed 10 million yuan, holding 20%; Zhonghe Partnership has contributed 5 million yuan, holding 10%; BEAMVISION has contributed 4.5 million yuan, holding 9%; Yin Zhiyao has contributed 2.5 million yuan, holding 5%; and JU JIN has contributed 2.5 million yuan, holding 5%. The company will waive its right of first refusal for this capital increase, which constitutes a related-party transaction but does not constitute a significant asset restructuring.
