Avianca (“Avianca” for short) and related parties signed a relevant agreement to carry out sales and leaseback business for 10 A320NEO series aircraft.
Avolon Finance Ireland Limited (“Avolon Finance” for short), a wholly-owned subsidiary of Avolon, transferred Avianca the right to purchase 10 A320NEO aircraft from Airbus (“Airbus”). The catalog price of these 10 aircraft is approximately 1.106 billion US dollars (equivalent contract contract value of RMB 7953.3566 million based on the median price of 1:7.1901 of the USD/RMB exchange rate). The actual purchase price It is determined by agreement between the two parties on this basis, and the transaction price does not exceed 30% of the company's most recent audited net assets.
Meanwhile, Avolon Finance, as the client, entrusts UMB Bank, N.A. (“UMB Bank” for short) to operate and lease the 10 aircraft to Avianca after purchasing the aircraft. UmbBank is the nominal owner and lessor of the aircraft assets, and all rights in the aircraft assets are owned by the client Avolon Finance, which is the actual owner of the aircraft assets. The above aircraft are expected to be delivered from the fourth quarter of 2025 to the first quarter of 2027. The initial lease period is 12 years. The rent level is based on reference to the rent level of the same type of aircraft in the same market during the same period, and rent will begin to be calculated after the aircraft is officially delivered and leased.
