Possible Bearish Signals With Brady Insiders Disposing Stock

The fact that multiple Brady Corporation (NYSE:BRC) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Brady

Over the last year, we can see that the biggest insider sale was by the Independent Director, Elizabeth Bruno, for US$1.4m worth of shares, at about US$58.75 per share. That means that an insider was selling shares at slightly below the current price (US$73.21). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 2.4% of Elizabeth Bruno's stake.

Insiders At Brady Have Sold Stock Recently

The last three months saw significant insider selling at Brady. Specifically, President of EMEA & Australia Brett Wilms ditched US$60k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Does Brady Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Brady insiders own 10.0% of the company, worth about US$352m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

What Might The Insider Transactions At Brady Tell Us?

An insider hasn't bought Brady stock in the last three months, but there was some selling. And there weren't any purchases to give us comfort, over the last year. But it is good to see that Brady is growing earnings. It is good to see high insider ownership, but the insider selling leaves us cautious.
