The target company is ultimately held by Dr. Zhang through the seller and primarily engages in the operation of dental clinics to provide dental services. Upon completion, Rank Best will hold 75% of the issued share capital of the target company, which will become the company's indirectly non-wholly-owned subsidiary.
As part of the Shareholder agreement, the seller will be granted a sale option, allowing them to require Rank Best to purchase all shares they hold in the target company according to the terms and conditions of the Shareholder agreement.
The Board of Directors believes that the acquisition will expand the group's market share by broadening its customer base and dental service network, thus reaching more new patients, strengthening the group's Business and enhancing overall profitability.
