Zhitong Finance App News, Tianci Materials (002709.SZ) announced that the company and its subsidiary Delaware Tianci have signed two share purchase agreements with Honeywell International Inc. (“Honeywell”) and its subsidiary Advanced Energy Materials LLC (“AEM”). The two parties intend to jointly establish a joint venture through share purchases and subscriptions. The joint venture aims to manufacture, operate and sell products such as liquid lithium hexafluorophosphate and electrolytes.
Under the agreement, Delaware Tianci will transfer 49% of its wholly-owned subsidiary Texas Tianci shares to Honeywell. The transfer consideration is expected to be US$16.66 million, subject to adjustments (if any) by both parties based on pre-delivery statements. After the equity transfer, Tianci Delaware held 51% of the shares and Honeywell held 49% of the shares. Dezhou Tianci plans to build a project with an annual output of 0.2 million tons of electrolyte. AEM is a wholly-owned subsidiary of Honeywell and is another joint venture entity under this transaction. The main business in the future will be the production, operation and sale of battery raw materials such as liquid lithium hexafluorophosphate. Delaware Tianci agreed with Honeywell. After the approval and delivery conditions involved in this cooperation are met, Delaware Tianci will subscribe for additional shares issued by AEM. The transaction consideration will be determined through separate negotiations based on AEM's initial investment. After the subscription, Honeywell holds 51% of the shares, and Tianci Delaware holds 49% of the shares. AEM will build a liquid lithium hexafluorophosphate project with an annual output of 0.1 million tons, and the total investment of the project is expected to be 0.4 billion US dollars.
