赔偿协议
本赔偿协议(此」协议」)日期为 [插入日期],并且位于特拉华州有限责任公司 Seagate 科技有限责任公司之间(公司」),以及 [插入受偿人姓名] (“赔偿人”).
陈述
A.     seagate technology holdings plc,一家根据爱尔兰共和国法律组织的上市有限公司(seagate),是本公司的最终母公司,时至今日是本公司的直接或间接持有所有股权的人(具体情况随时有所变化)。    
b. 受保人对公司、西闸或其一个或多个相关公司(如下定义)的服务,实质上使公司受益。
C. 有关个体不愿担任有限责任公司的经理人或高级职员、董事会成员或公司高级职员,或在某些其他等同或类似职务,除非他们得到足够的保险或赔偿,以保护他们免受因执行此类职务而产生的索赔和诉讼风险。
D. 受款人认为目前适用法律、公司的管理文件、公司联营公司的管理文件以及任何保险提供的保障在目前情况下不足够,受款人可能不愿在没有额外保障的情况下担任董事、经理或官员。
为了诱使受保护人继续为公司、西门子或其联属公司提供服务,公司承担合约义务来保障受保护人,并根据适用法律允许的规定提供费用支前,这是合理、谨慎且必要的。
F. 本协议是对公司2023年6月30日签署的第二次修订及改订有限责任公司协议中提供的赔偿进一步补充。经营协议”), 并且任何根据该协议采纳的决议,如赔偿人正在为公司的一个或多个联属公司提供服务,则这个公司的统辖文件及任何与此类联属公司或赔偿人应提供服务机构之管理文件有关的决议,均不得视为该协议之替代,也不得视为限制、减少或撤销赔偿人在该等文件下的任何权利。
双方因此同意如下:
1.定义。
(a)「附属公司」应当按照本协议签署当日生效的《交易所法规》120亿2条所赋予的含义进行解释。「」指的是对于公司直接或间接通过一个或多个中间人控制、受其控制或与其共同受控的任何其它人或实体。为避免疑义,seagate technology holdings plc,一家爱尔兰上市有限公司,是该公司的联属公司。



(b)A “变更控制权「在本协议日期后最早发生以下任何事件时,"应视为发生"」。
(i)第三方收购股票。 当任何人(如下所定义)直接或间接成为Seagate证券的受益拥有人(如下所定义),持有Seagate当时流通证券总投票权的15%或更多时;
(ii)董事会组成的变动。 在连续两年的任何时期(不包括本协议签署前的任何时期),自史格威特的董事会成员开始组成的个人,以及董事会通过不低于仍在职的董事中的三分之二投票批准的由史格威特股东选出或提名选举的新董事(除了由与史格威特签订协议以实施第1(b))(i)、1(b))(iii)或1(b)(iv))项所描述交易的人员指定的董事), 都因为任何原因而不再组成史格威特董事会成员的过半数以上。

根据本第1(b)条的规定,以下词语应具有以下含义:

(e)企业「公司」指的是公司、公司的任何附属公司以及因被公司或其任何附属公司请求而担任公司董事、受托人、普通合伙人、经理、管理成员、主管、员工、代理人或受托人的任何其他公司、合伙关系、有限责任公司、合资企业、信托、员工福利计划或其他企业。
(f)费用包括所有合理和实际支出的律师费、保留费、法院费用、诉讼费、转录费、专家费用、证人费用和费用、旅行费用、复制费用、印刷和装订费用、电话和传真费用、邮资、递送服务费用,以及与对某个程序进行起诉、辩护、准备起诉或辩护、调查、作为或准备作为证人参与、或其他参与有关的类型的支出或费用。费用还包括(i)与由任何程序引致的上诉有关的支出,包括但不限于与任何成本保证金、停止执行保证金或其他上诉保证金或其等值有关的保费、担保品和其他费用,以及(ii)为了第12(d)条的目的,被保障人因此协议或任何由公司或其联属公司维持的董事和高级职员责任保险政策下的权利的解释、执行或辩护而产生的支出。然而,支出不应包括被保障人支付的和解金额或对被保障人的判决或罚款金额。
(g)独立法律顾问「」指的是经验丰富于公司法和有限责任公司法事务的律师事务所,或律师事务所的合伙人或成员,且在过去三年内均未曾代表(i)公司、Seagate、其任何联属公司或受保障人在任何对该方至关重要(非独立法律顾问关于此协议中受保障人事项或其他类似赔偿协议下的事项除外),或(ii)本次产生赔偿要求的诉讼之任何其他相关方。尽管如上所述,「」一词不包括根据当时适用的专业行为标准将对代表公司、其联属公司或受保障人在行动中判断受保障人权利有利益冲突的任何人。独立法律顾问「」不包括在当时的专业行为标准下,将对代表公司、其联属公司或受保障人在行动中判断受保障人根据本协议的权利可能产生利益冲突的任何人。
(h)进行中「诉讼」表示任何受威胁、即将或已完成的诉讼、仲裁、调解、替代性争议解决机制、调查(包括任何内部调查)、询问、行政听证或诉讼,无论是由公司、其任何联属公司或其他方提起,无论是属于民事、刑事、行政或调查性质,包括当事人就此上诉,并包括但不限于本协议生效日尚有未了的此类诉讼,其中赔偿人因(i)在公司内担任或曾担任经理、管理成员或高级职员,或担任或曾担任公司的任何联属公司的董事、经理、管理成员或高级职员的事实,(ii)赔偿人作为公司的经理、管理成员或高级职员,或作为公司的任何联属公司的董事、经理、管理成员或高级职员采取的任何行动或不采取行动,或(iii)因赔偿人受公司或其任何联属公司之请求担任董事、受托人、普通合伙人、经理、管理成员、高级职员、雇员、代理人或其他身份参与。

公司的受益人或任何其他企业的受托人,无论是否在承担责任或产生可根据本协议提供赔偿或费用预付的情况下任职。
(i)关于“其他企业”应包括员工福利计划;关于“罚款」将包括对任何员工福利计划被征收的过度税收课税; 对「应在公司的要求下服务”应包括担任公司董事、经理、管理成员、官员、员工或代理人的任何服务,或者属于公司或其联属公司的服务,该服务对该董事、经理、管理成员、官员、员工或代理人对员工福利计划、参与者或受益人构成义务或涉及服务;一个善意行事、并且被赔偿者合理相信以最符合该员工福利计划参与者和受益人利益的方式行事的人应被视为已按照“非违背公司最佳利益” 如本协议所指。
2.第三方诉讼中的赔偿。 如果受款人正在或有可能成为任何诉讼的当事人或参与人,则本部分2的规定将按照标明的程序赔偿受款人,但不包括公司或公司的联系公司的为了获得判决而提起的诉讼。根据本第2部分,只要受款人是在善意行事,并合理认为为公司或此类联营公司的最佳利益或和其不抵制其最佳利益为行事,受款人就应根据适用法律的允许范围对任何支出、判决、罚款和和解金额进行全额赔偿,该支出、判决、罚款和和解金额实际且合理地是受款人或代表受款人为此类诉讼或其中任何主张、问题或事项而支出,并且对于任何刑事诉讼或程序,受款人本人恕无理由相信其行为不合法。
3.公司的代表或其他持有公司权利的采取行动时的赔偿。 如果受赔偿方成为公司或任何公司联属公司的诉讼或参与者,以在其利益获得判决,公司将根据本第3条的规定赔偿受赔偿方。根据本第3条,只要受赔偿方是善意行事,并出于其合理相信有利或不反对公司或其联属公司的最佳利益的方式,受赔偿方将得到全额赔偿,在此诉讼或其中的任何索赔、问题或事项中,受赔偿方实际合理支出的所有费用都会得到赔偿。除非特许权州特许法院或提出诉讼的法院根据申请确定,尽管裁定有责任但鉴于案件的一切情况,受赔偿方对无法得到赔偿的任何索赔、问题或事项承担责任, 特许权州特许法院或其他法院认为适当的支出,受赔偿将不会在本第3条中对此进行。
4.全额或部分胜诉方的费用赔偿。 不受本协议其他条款的约束,最大限度地符合适用法律法规,只要因其公司地位,得到验证,在任何诉讼中或保护任何索赔、问题或事项中,全面或部分胜利,公司应当赔偿其在此期间实际和合理发生的所有费用。如果受赔偿方在这种诉讼中并非完全胜利,但在这种诉讼中在事实或其他方面获得了一项或多项,而不是所有的索赔、问题或事项,公司应向受赔偿方赔偿实际和合理发生的所有费用,用于连接每个成功解决的索赔、问题或事项。如果受赔偿方在这种诉讼中不是完全胜利,公司应向受赔偿方赔偿在与受赔偿方成功的任何索赔、问题或事项有关的任何索赔、问题或事项的所有实际和合理费用。为本节目的,在不限制前述情况的前提下,如果任何诉讼被处理,不管其性质是如何(包括未受歧视地裁决),没有对受赔偿方不利的处理,没有对受赔偿方实施有限责任,没有对受赔偿方认罪或放弃抗辩,没有对受赔偿方的行为认定为不守诚信、不合理,或没有对任何刑事诉讼进行裁决,以指认受赔偿方有理由相信受赔偿方的行为是非法的,那么受赔偿方将被认为在本协议目的中已经成功处理。 在将受益方作为诉讼的一方或参与者,并成功(无论是在实质上还是其他方面)为任何诉讼或其中的任何索赔,问题或事项进行辩护的情况下,公司应根据适用法律的规定最大程度地对受益方承担所有实际合理发生的费用,或者由受益方代为承担。在适用法律允许的最大范围内,如果受益方在此诉讼中并非完全成功,但在为一个或多个而非全部索赔、问题或事项进行辩护时获得成功,公司应承担受益方在此类事务中实际并合理发生的所有费用,或受益方代为承担的费用。

在每一成功解决的索赔、问题或事项以及与任何此类成功解决的索赔、问题或事项有关的任何索赔、问题或事项中。对于本部分而言,通过驳回(无论有或无偏见)在此类程序中终止任何索赔、问题或事项应被视为对此类索赔、问题或事项的成功结果。
5.见证人费用赔偿。 在因受益人的公司地位而成为或曾是证人,或被要求参与任何不是受益人当事人的诉讼时,受益人应根据适用法律的规定获得赔偿,用于支付其或代表其实际和合理发生的与此相关的所有费用。
6.附加赔偿。 尽管在第2、3或4节中存在任何限制,但如果受赔偿方成为任何诉讼的一方或参与者(包括由本公司或本公司任何关联公司代表以获取对其有利的判决的诉讼),则公司将根据适用法律允许的最大范围对受赔偿方进行赔偿, 包括在相关诉讼或其中的任何索赔、问题或事项中,由受赔偿方实际和合理承担的所有费用、判决、罚款和结算支付的金额。
7.除外条款。 尽管本协议中的任何规定,公司不会根据本协议在任何程序(或任何程序的任何部分)中作出赔偿。
(a)对于已根据任何法令、保险单、赔偿条款、表决或其他方式实际支付给受保人或受保人代表的款项,除超出已支付金额的部分外,并受限于第15条或第18条规定的代位权。
(b)根据《交易所法》第16(b)条,或者联邦、州或地方法定法律或普通法的类似规定,如果受保障人因此被判有责任(包括根据任何和解安排),则应进行核算或利润归还。
(c)对于受保人向公司或本公司的关联公司偿还任何奖金或其他基于激励或股权的薪酬,或受保人通过出售公司或公司关联公司的证券而获得的任何利润,在每种情况下,均根据公司或该关联公司通过的任何回扣或补偿回收政策的要求,适用的证券交易所和协会上市要求,包括但不限于根据以下要求制定的要求《交易法》或《交易法》下的第10D-1条《交易法》(包括但不限于根据2002年《萨班斯-奥克斯利法案》第304条对公司或公司关联公司进行会计重报而产生的任何此类报销(”萨班斯-奥克斯利法案”),或者向公司或公司的关联公司支付因受保人违反萨班斯-奥克斯利法案第306条购买和出售证券而产生的利润(包括根据任何和解安排);
(d)由被保险人发起的,包括被保险人对公司、Seagate或公司任何关联公司或其各自的董事、经理、管理成员、高级职员、雇员、代理人或其他被保险人提起的任何诉讼(或任何诉讼的任何部分),除非(i) Seagate的董事会在启动之前授权了该诉讼(或相关部分),(ii) 公司按照其自行决定根据授予的权力提供补偿,

公司根据适用法律(iii)在第12(d)条中另有授权或(iv)根据适用法律的要求。
(e)如果受适用法律禁止;或者
(f)如果受赔偿方的行为已经最终被法院判定为欺诈或构成故意不端行为。
8.支出的推进。 公司应在与任何程序有关的费用产生后,以尽快的方式提前支付被保障人所产生的费用,但无论如何,最迟在公司收到书面申请要求这些预付款时,不得超过20天后进行支付(其中应包括被保障人与这些费用有关的发票,但在涉及法律服务的发票中,不得包括任何可能导致被保障人放弃适用法律赋予的任何特权的法律工作或支出的参考)。预付款应为无担保且无息,并且无需考虑被保障人偿还这些预付款的能力。被保障人特此承诺,如最终确定被公司不得向其提供赔偿,被保障人应偿还任何预付款。本第8节在法律禁止预付款的情况下不适用,并且不适用于本协议不允许提供赔偿的任何程序(或任何程序的任何部分),但适用于在确定被保障人不得被公司提供赔偿之前已在第7(b)或7(c)节中引用的任何程序(或任何程序的任何部分)。
9.申报和军工股的通知程序。
(a)作为受保人根据本协议获得赔偿的权利的先决条件,受保人应向公司发出通知(为避免疑问,通知应根据第 26 条发送)(通知) 本协议)在受保人收到受保人收到赔偿通知后,在合理可行的情况下尽快以书面形式就受保人将或可能寻求赔偿或预付开支的任何事宜。给公司的书面通知应以合理的细节包括对诉讼性质和诉讼所依据的事实的描述。受保人未能通知公司并不能免除公司根据本协议或其他协议可能对受保人承担的任何责任,延迟通知公司均不构成受保人对任何权利的放弃,除非此类失误或延迟对公司或公司的任何关联公司造成重大偏见。
(b)公司有权自行承担参与诉讼费用。受赔偿人同意与公司协商,并善意考虑在任何诉讼中,无论是公司还是其他受赔偿人除受赔偿人之外需要代表时,共同代表的适宜性和恰当性。
(c)受保护人应在其能力范围内向公司提供与诉讼相关的信息和合作,该信息和合作应合理适当。
(d)受赔偿方不得就诉讼(或其任何部分)达成任何和解,而未提前十天书面通知公司。

10.申请获赔后的程序。
(a)为了获得赔偿,受保人应向公司提交书面请求(为避免疑问,该请求应根据第26条提交)(通知) 此处),包括受保人可以合理获得的文件和信息,以及确定受保人在诉讼最终处置后是否以及在多大程度上有权获得赔偿的合理必要文件和信息。在收到此类赔偿申请后,公司应在合理可行的情况下尽快告知希捷董事会,受保人已申请赔偿。延迟提供请求都不会解除公司在本协议下的义务,除非这种失败具有偏见。
(b)根据受保护人书面要求,根据第10(a)条规定获得赔偿,对受保护人的资格进行确定应在以下情况下进行:(i)如果发生控制权变更,则由独立顾问根据书面意见向西数公司董事会进行裁决,并将裁决副本交付给受保护人;或(ii)如果未发生控制权变更,则应由在任的独立董事中的多数人进行裁决,即使不足以构成西数公司董事会的法定人数;或由在任的独立董事多数人指定的委员会进行裁决,即使不足以构成西数公司董事会的法定人数;如果没有这样的独立董事或者如果独立董事这样指定,由独立顾问根据书面意见向西数公司董事会进行裁决,并将裁决副本交付给受保护人;或者如果西数公司董事会指示,由西数公司股东进行裁决。如果确定受保护人有权获得赔偿,则应在确定后的三十(30)天内向受保护人支付赔偿。受保护人应配合就其获得赔偿资格进行裁定的人员、人员或实体,包括在合理提前要求时向此类人员、人员或实体提供非受特权或其他保护免于披露的文件或信息,且该等文件或信息对受保护人是合理可获取且对该等裁定是合理必要的。受保护人在配合就此类裁定进行合理合作时实际合理发生的任何成本或费用(包括律师费和支出)应由公司承担,如适用法律所允许。
(c)如果根据第10(b)条款,独立顾问应该确定对赔偿的资格,那么独立顾问应该按照第10(c)条款规定进行选择。如果尚未发生控制权变更,独立顾问将由希捷的董事会选定,并公司将以书面形式通知受保障者选定的独立顾问的身份。如果发生控制权变更,独立顾问将由受保障者选定(除非受保障者要求由希捷的董事会作出选择,在这种情况下,前述句子将适用),并受保障者应向公司发出书面通知,告知选定的独立顾问的身份。不论哪种情况,受保障者或公司,视情况而定,可以在发出此类选择的书面通知后的十天内向公司或受保障者提出书面异议; 在每种情况下,该B类股东和/或该B类股东的家庭成员需独立控制在此类帐户、计划或信托中持有的B类普通股实时;, 公司对于以下情况,不应承担责任:根据第10(b)部分书面信息可靠地提供。只能基于所选独立顾问不符合《第1条》中“独立顾问”定义的要求,而提出该异议,强调这一点。没有适当及时的异议,所选人员将充当独立顾问。如果进行了这样的书面异议并得到证实,所选独立顾问在此类异议被撤回或法院裁定此类异议无效之前,都不得担任独立顾问。如果在(i)受保障者根据本条10(a)提出赔偿请求的书面要求提交,和(ii)程序的最终处理之后的20天内,各方未就

在独立法律顾问选定方面,无论公司或被保障人都可以向有管辖权的法院申请解决公司或被保障人对对方选定独立法律顾问所提出的任何异议,并提名由法院或法院指定的其他人选为独立法律顾问,而所有异议得以解决或被法院指定的人员将根据本节第10(b)条的规定充当独立法律顾问。在按照第12(a)条规定启动任何司法程序或仲裁时,独立法律顾问将被解职,并免除其在该职责中的任何进一步责任(受当时适用的职业操守标准的约束)。
(d)The Company agrees to pay the reasonable fees and expenses of any Independent Counsel.
(e)The Company will promptly notify Indemnitee with respect to any determination that Indemnitee is entitled to indemnification. If indemnification has been denied, the notice shall be in writing and include a description of any reason or basis for which indemnification has been denied.
11.Presumptions and Effect of Certain Proceedings.
(a)In making a determination with respect to entitlement to indemnification hereunder, the person, persons or entity making such determination shall, to the fullest extent not prohibited by law, presume that Indemnitee is entitled to indemnification under this Agreement if Indemnitee has submitted a request for indemnification in accordance with Section 10(a), and the Company shall, to the fullest extent not prohibited by law, have the burden of proof to overcome that presumption in connection with the making by such person, persons or entity of any determination contrary to that presumption. The termination of any Proceeding or of any claim, issue or matter therein, by judgment, order, settlement or conviction, or upon a plea of nolo contendere or its equivalent, shall not (except as otherwise expressly provided in this Agreement) of itself adversely affect the right of Indemnitee to indemnification or create a presumption that Indemnitee did not act in good faith and in a manner which Indemnitee reasonably believed to be in or not opposed to the best interests of the Company or any Affiliate of the Company or, with respect to any criminal Proceeding, that Indemnitee had reasonable cause to believe that Indemnitee’s conduct was unlawful.
(b)Subject to Section 12(e), if the person, persons or entity empowered or selected under Section 10 of this Agreement to determine whether Indemnitee is entitled to indemnification shall not have made a determination within 60 days after receipt by the Company of the request therefor in accordance with this Agreement, the requisite determination of entitlement to indemnification shall be deemed to have been made and Indemnitee shall be entitled to such indemnification, absent (i) a misstatement by Indemnitee of a material fact, or an omission of a material fact necessary to make Indemnitee’s statements not materially misleading, in connection with the request for indemnification, or (ii) a prohibition of such indemnification under applicable law; provided, however, that such 60-day period may be extended for a reasonable time, not to exceed an additional 30 days, if the person, persons or entity making the determination with respect to entitlement to indemnification in good faith requires such additional time for obtaining or evaluating documentation or information relating thereto; and provided, further, that the foregoing provisions of this section shall not apply (i) if the determination of entitlement to indemnification is to be made by Seagate’s stockholders pursuant to Section 10(b) of this Agreement and if (A) within 15 days after receipt by the Company of the request for such determination Seagate’s board of directors has resolved to submit such determination to the stockholders for their consideration at an annual meeting to be held within 75 days after such receipt and such determination is made thereat, or (B) a special meeting of stockholders is called within 15 days after receipt of such a request for the purpose of making such determination, such meeting is held for

such purpose within 60 days after having been so called and such determination is made thereat, or (ii) if the determination of entitlement to indemnification is to be made by Independent Counsel pursuant to Section 10(b) of this Agreement.
(c)For purposes of any determination of good faith, Indemnitee shall be deemed to have acted in good faith to the extent Indemnitee relied in good faith on (i) the records or books of account of any Enterprise, including financial statements, (ii) information supplied to Indemnitee by the officers of any Enterprise in the course of their duties, (iii) the advice of legal counsel for any Enterprise or (iv) information or records given or reports made to any Enterprise by an independent certified public accountant, an appraiser, investment banker or other expert selected with reasonable care by or on behalf of the Enterprise. The provisions of this Section 11(b) shall not be deemed to be exclusive or to limit in any way the other circumstances in which Indemnitee may be deemed to have met the applicable standard of conduct set forth in this Agreement.
(d)Neither the knowledge, actions nor failure to act of any other director, manager, managing member, officer, agent or employee of any Enterprise shall be imputed to Indemnitee for purposes of determining the right to indemnification under this Agreement.
12.Remedies of Indemnitee.
(a)Subject to Section 12(e), in the event that (i) a determination is made pursuant to Section 10 of this Agreement that Indemnitee is not entitled to indemnification under this Agreement, (ii) advancement of Expenses is not timely made pursuant to Section 8 or 12(d), (iii) no determination of entitlement to indemnification shall have been made pursuant to Section 10 within 90 days after the later of the receipt by the Company of the request for indemnification or the final disposition of the Proceeding, (iv) payment of indemnification pursuant to this Agreement is not made (A) within ten days after a determination has been made that Indemnitee is entitled to indemnification or (B) with respect to indemnification pursuant to Sections 4, 5 and 12(d), within 30 days after receipt by the Company of a written request therefor, or (v) the Company or any other person or entity takes or threatens to take any action to declare this Agreement void or unenforceable, or institutes any litigation or other action or proceeding designed to deny, or to recover from, Indemnitee the benefits provided or intended to be provided to Indemnitee hereunder, Indemnitee shall be entitled to an adjudication by a court of competent jurisdiction of Indemnitee’s entitlement to such indemnification or advancement of Expenses. Alternatively, Indemnitee, at Indemnitee’s option, may seek an award in arbitration with respect to Indemnitee’s entitlement to such indemnification or advancement of Expenses, to be conducted by a single arbitrator pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Indemnitee shall commence such proceeding seeking an adjudication or an award in arbitration within 180 days following the date on which Indemnitee first has the right to commence such proceeding pursuant to this Section 12(a); provided, however, that the foregoing clause shall not apply in respect of a proceeding brought by Indemnitee to enforce Indemnitee’s rights under Section 4. The Company shall not oppose Indemnitee’s right to seek any such adjudication or award in arbitration in accordance with this Agreement.
(b)Neither (i) the failure of Seagate, Seagate’s board of directors, Independent Counsel or stockholders of Seagate to have made a determination that indemnification of Indemnitee is proper in the circumstances because Indemnitee has met the applicable standard of conduct, nor (ii) an actual determination by Seagate, Seagate’s board of directors, Independent Counsel or stockholders of Seagate that Indemnitee has not met the applicable standard of conduct, shall be a defense to the action or create a presumption that Indemnitee has or has not met the applicable standard of conduct. In the event that a determination shall have

been made pursuant to Section 10 that Indemnitee is not entitled to indemnification, any judicial proceeding or arbitration commenced pursuant to this Section 12 shall be conducted in all respects as a de novo trial, or arbitration, on the merits, and Indemnitee shall not be prejudiced by reason of that adverse determination. In any judicial proceeding or arbitration commenced pursuant to this Section 12, the Company shall, to the fullest extent not prohibited by law, have the burden of proving Indemnitee is not entitled to indemnification or advancement of Expenses, as the case may be.
(c)To the fullest extent not prohibited by law, the Company shall be precluded from asserting in any judicial proceeding or arbitration commenced pursuant to this Section 12 that the procedures and presumptions of this Agreement are not valid, binding and enforceable and shall stipulate in any such court or before any such arbitrator that the Company is bound by all the provisions of this Agreement. If a determination shall have been made pursuant to Section 10 that Indemnitee is entitled to indemnification, the Company shall be bound by such determination in any judicial proceeding or arbitration commenced pursuant to this Section 12, absent (i) a misstatement by Indemnitee of a material fact, or an omission of a material fact necessary to make Indemnitee’s statements not materially misleading, in connection with the request for indemnification, or (ii) a prohibition of such indemnification under applicable law.
(d)To the extent not prohibited by law, the Company shall indemnify Indemnitee against all Expenses that are incurred by Indemnitee in connection with any action for indemnification or advancement of Expenses from the Company under this Agreement or under any directors’ and officers’ liability insurance policies maintained by the Company to the extent Indemnitee is successful in such action, and, if requested by Indemnitee, shall (as soon as reasonably practicable, but in any event no later than 20 days, after receipt by the Company of a written request therefor) advance such Expenses to Indemnitee, subject to the provisions of Section 8.
(e)Notwithstanding anything in this Agreement to the contrary, no determination as to entitlement to indemnification shall be required to be made prior to the final disposition of the Proceeding.
13.Contribution. To the fullest extent permissible under applicable law, if the indemnification provided for in this Agreement is unavailable to Indemnitee, the Company, in lieu of indemnifying Indemnitee, shall contribute to the amounts incurred by Indemnitee, whether for Expenses, judgments, fines or amounts paid or to be paid in settlement, in connection with any claim relating to an indemnifiable event under this Agreement, in such proportion as is deemed fair and reasonable in light of all of the circumstances of such Proceeding in order to reflect (i) the relative benefits received by the Company or any Affiliate of the Company and Indemnitee as a result of the events and transactions giving rise to such Proceeding; and (ii) the relative fault of Indemnitee and the Company or such Affiliate (and its other directors, managers, managing member, officers, employees and agents) in connection with such events and transactions.
14.Non-exclusivity. The rights of indemnification and to receive advancement of Expenses as provided by this Agreement shall not be deemed exclusive of any other rights to which Indemnitee may at any time be entitled under applicable law, the Operating Agreement, the governing documents of any Affiliate of the Company, any agreement, a vote of members of the Company or a resolution of managers or managing members of the Company, or otherwise. To the extent that a change in Delaware law, whether by statute or judicial decision, permits greater indemnification or advancement of Expenses than would be afforded currently under the Operating Agreement, the governing documents of any Affiliate of the Company, and this Agreement, it is the intent of the parties hereto that Indemnitee shall enjoy by this Agreement the greater benefits so afforded by such change, subject to the restrictions expressly set forth herein or therein. Except as expressly set forth herein, no right or remedy herein conferred is intended to be exclusive of any other right or

remedy, and every other right and remedy shall be cumulative and in addition to every other right and remedy given hereunder or now or hereafter existing at law or in equity or otherwise. Except as expressly set forth herein, the assertion or employment of any right or remedy hereunder, or otherwise, shall not prevent the concurrent assertion or employment of any other right or remedy.
15.Primary Responsibility. The Company acknowledges that if the Indemnitee has certain rights to indemnification and advancement of expenses provided by another entity (the “Secondary Indemnitor”), then the Company agrees that, as between the Company and the Secondary Indemnitor, the Company is primarily responsible for amounts required to be indemnified or advanced under the Operating Agreement or this Agreement and any obligation of the Secondary Indemnitor to provide indemnification or advancement for the same amounts is secondary to those Company obligations. In the event of any payment by the Secondary Indemnitor of amounts otherwise required to be indemnified or advanced by the Company under the Operating Agreement or this Agreement, the Secondary Indemnitor shall be subrogated to the extent of such payment to all of the rights of recovery of Indemnitee for indemnification or advancement of expenses under the Operating Agreement or this Agreement or, to the extent such subrogation is unavailable and contribution is found to be the applicable remedy, shall have a right of contribution with respect to the amounts paid. Any Secondary Indemnitor is an express third-party beneficiary of the terms of this Section 14.
16.No Duplication of Payments. Subject to any subrogation rights set forth in Section 15 and Section 18, the Company shall not be liable under this Agreement to make any payment of amounts otherwise indemnifiable hereunder (or for which advancement is provided hereunder) if and to the extent that Indemnitee has otherwise actually received payment for such amounts under any insurance policy, contract, agreement or otherwise.
17.Insurance. To the extent that the Company or its Affiliates maintains an insurance policy or policies providing liability insurance for directors, trustees, general partners, managers, managing members, officers, employees, agents or fiduciaries of the Company or any other Enterprise, Indemnitee shall be covered by such policy or policies to the same extent as the most favorably-insured persons under such policy or policies in a comparable position. If, at the time of the receipt of a notice of a claim pursuant to the terms hereof, the Company has director and officer liability insurance in effect, the Company shall give prompt notice of the commencement of such Proceeding to the insurers in accordance with the procedures set forth in the respective policy or policies. The Company shall thereafter take all necessary or desirable action to cause such insurers to pay, on behalf of Indemnitee, all amounts payable as a result of such Proceeding in accordance with the terms of such policy or policies.
18.Subrogation. In the event of any payment under this Agreement, the Company shall be subrogated to the extent of such payment to all of the rights of recovery of Indemnitee, who shall execute all papers required and take all action necessary to secure such rights, including execution of such documents as are necessary to enable the Company to bring suit to enforce such rights.
19.Services to the Company. Indemnitee agrees to serve as a manager or managing member or officer of the Company or, at the request of the Company or an Affiliate thereof, as a director, trustee, general partner, manager, managing member, officer, employee, agent or fiduciary of another Enterprise, for so long as Indemnitee is duly elected or appointed or until Indemnitee tenders Indemnitee’s resignation or is removed from such position. Indemnitee may at any time and for any reason resign from such position (subject to any other contractual obligation or any obligation imposed by operation of law), in which event the Company or such Affiliate shall have no obligation under this Agreement to continue Indemnitee in such position. This Agreement shall not be deemed an employment contract between the Company (or any of its Affiliates or any

Enterprise) and Indemnitee. Indemnitee specifically acknowledges that any employment with the Company (or any of its Affiliates or any Enterprise) is at will, and Indemnitee may be discharged at any time for any reason, with or without cause, with or without notice, except as may be otherwise expressly provided in any executed, written employment contract between Indemnitee and the Company (or any of its Affiliates or any Enterprise), any existing formal severance policies adopted by the Company (or any of its Affiliates or any Enterprise) or, with respect to service as a manager or officer of the Company, the Operating Agreement. No such document shall be subject to any oral modification thereof.
20.Duration. This Agreement shall continue until and terminate upon the later of (a) ten years after the date that Indemnitee shall have ceased to serve as a manager or managing member or officer of the Company or as a director, trustee, general partner, manager, managing member, officer, employee, agent or fiduciary of any other Enterprise, as applicable; or (b) one year after the final termination of any Proceeding, including any appeal, then pending in respect of which Indemnitee is granted rights of indemnification or advancement of Expenses hereunder and of any proceeding commenced by Indemnitee pursuant to Section 12 relating thereto.
21.Successors. This Agreement shall be binding upon the Company and its successors and assigns, including any direct or indirect successor, by purchase, merger, consolidation or otherwise, to all or substantially all of the business or assets of the Company, and shall inure to the benefit of Indemnitee and Indemnitee’s heirs, executors and administrators. The Company shall require and cause any successor (whether direct or indirect by purchase, merger, consolidation or otherwise) to all or substantially all of the business or assets of the Company, by written agreement, expressly to assume and agree to perform this Agreement in the same manner and to the same extent that the Company would be required to perform if no such succession had taken place. No party may assign this Agreement without the prior written consent of the other party; provided, however, that the Indemnitee may assign its right under this Agreement to the Secondary Indemnitor or its affiliates without the prior written consent of the Company.
22.Severability. Nothing in this Agreement is intended to require or shall be construed as requiring the Company to do or fail to do any act in violation of applicable law. The Company’s inability, pursuant to court order or other applicable law, to perform its obligations under this Agreement shall not constitute a breach of this Agreement. If any provision or provisions of this Agreement shall be held to be invalid, illegal or unenforceable for any reason whatsoever: (i) the validity, legality and enforceability of the remaining provisions of this Agreement (including without limitation, each portion of any section of this Agreement containing any such provision held to be invalid, illegal or unenforceable, that is not itself invalid, illegal or unenforceable) shall not in any way be affected or impaired thereby and shall remain enforceable to the fullest extent permitted by law; (ii) such provision or provisions shall be deemed reformed to the extent necessary to conform to applicable law and to give the maximum effect to the intent of the parties hereto; and (iii) to the fullest extent possible, the provisions of this Agreement (including, without limitation, each portion of any section of this Agreement containing any such provision held to be invalid, illegal or unenforceable, that is not itself invalid, illegal or unenforceable) shall be construed so as to give effect to the intent manifested thereby.
23.Enforcement. The Company expressly confirms and agrees that it has entered into this Agreement and assumed the obligations imposed on it hereby in order to induce Indemnitee to serve as a manager or managing member or officer of the Company (or to serve at the request of the Company or an Affiliate of the Company as a director, manager, managing member, officer, employee or agent of another corporation, partnership, limited liability company, joint venture, trust or other Enterprise), and the Company acknowledges that Indemnitee is relying upon this Agreement in serving as a manager or managing member or

officer of the Company (or in serving at the request of the Company or an Affiliate of the Company as a director, manager, managing member, officer, employee or agent of another corporation, partnership, limited liability company, joint venture, trust or other Enterprise).
24.Entire Agreement. This Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral, written and implied, between the parties hereto with respect to the subject matter hereof; provided, however, that this Agreement is a supplement to and in furtherance of the Operating Agreement, the certificate of incorporation and bylaws or other governing documents of any Affiliate of the Company, and applicable law.
25.Modification and Waiver. No supplement, modification or amendment to this Agreement shall be binding unless executed in writing by the parties hereto. No amendment, alteration or repeal of this Agreement shall adversely affect any right of Indemnitee under this Agreement in respect of any action taken or omitted by such Indemnitee in Indemnitee’s Corporate Status prior to such amendment, alteration or repeal. No waiver of any of the provisions of this Agreement shall constitute or be deemed a waiver of any other provision of this Agreement nor shall any waiver constitute a continuing waiver.

27.适用法律和地位同意。 本协议及各方之间的法律关系应受特拉华州法律的管辖,并根据该州的法律进行解释和执行,不考虑其法律冲突规定。除了被投保人根据第12(a)条提起的任何仲裁外,公司和被投保人特此不可撤销地且无条件地同意:(i)同意本协议引起的或与本协议有关的任何诉讼只能在特拉华州商事法院提起,而不得在美利坚合众国的其他州或联邦法院或任何其他国家的法院提起;(ii)同意提交至特拉华州的专属管辖权。
