Guo Rui Real Estate Co., Ltd. (the “Company”) is a public limited company incorporated in Hong Kong, China, and its shares have been listed on the Hong Kong Stock Exchange Limited (the “Stock Exchange”) since February 1973. In February 2014, the Company allotted 395,920,914 shares to Wintime Company Limited at HK$1.00 each. Currently, Wintime Company Limited and Mr. Sun Zhongmin (Mr. Sun) each hold 360,288,031 shares (equivalent to 68.25% of the Company's issued share capital) and 35,632,880 shares of the Company (equivalent to 6.75% of the Company's issued share capital). Wintime Company Limited is wholly owned by Mr. Wei Chunxian (“Mr Wei”). Meanwhile, Mr. Wei and Mr. Sun are both directors and shareholders of Beijing Guorui Holdings Co., Ltd. (a company established under Chinese law) (“Beijing Guorui”). Currently, Mr. Wei is the Chairman and Executive Director of the Company, and Mr. Sun is also the Company's Executive Director. Beijing Guorui was founded in Beijing, China. Through its subsidiaries, it mainly engages in property development and investment in Beijing, specializing in boutique real estate and comprehensive commercial development projects. At this stage, the financial resources of the Company and its subsidiaries (collectively referred to as “Hong Kong Guorui Group”) come from leasing properties located in the People's Republic of China (excluding Hong Kong, China) (“China”). In May 2015, the company successfully acquired Beijing Aoxi Commercial Management Co., Ltd., thereby expanding the property management business segment. Looking forward to the future, the Company intends to continue to operate the Group's existing property investment, hotel management business and property management business. The Company may review the current business and/or operating direction of the Hong Kong Guorui Group from time to time, and may make relevant changes in response to the relevant reviews. Furthermore, the management of Hong Kong Guorui Group will closely monitor the market and seize the opportunity to adopt appropriate measures and strategies in order to obtain the best return for shareholders.
