Beijing Capital International Airport Co., Ltd. (the “Company”) was incorporated as a limited company on October 15, 1999 in Beijing, People's Republic of China (“China”) to own and manage aviation operations and certain ancillary commercial services at Capital International Airport (hereinafter referred to as “Beijing Capital Airport”) located in Beijing, China. The Company's 1,346,150,000 H shares, each with a face value of RMB 1.00, were publicly issued at HK$1.87 per share on January 27, 2000, and listed and traded on the Stock Exchange of Hong Kong Limited (“HKEx”) on February 1, 2000. After the issuance was completed, the company's total share capital increased from 2,500 million shares to 3846.15 million shares. Among them, Capital Airport Group Co., Ltd. (formerly known as Capital Airport Group Corporation) held 2,500 million domestic shares, accounting for 65% of the total share capital; public investors held 1346.15 million H shares, accounting for about 35% of the total share capital. On May 18, 2001, the Company was approved by China's Ministry of Foreign Trade and Economic Cooperation (the predecessor of China's Ministry of Commerce) and became a foreign-invested company limited by shares. On October 4, 2006 and June 10, 2008, the Company placed H shares twice to institutional investors or professional investors in the Hong Kong market. After two H share placements were completed, the total share capital of the company increased to 4330.89 million shares, of which the parent company held 2451.526 million domestic shares, accounting for 56.61% of the total share capital; public investors held 1879.364 million H shares, accounting for about 43.39% of the total share capital. On November 7, 2019, the Japanese company completed the non-public offering by transferring share capital from capital reserves (exclusively owned by the State). Details were disclosed in the Company's circular dated June 20, 2019 and the Company's announcement dated November 7, 2019. After completion, the number of common shares of the Company increased from 4,330,890,000 shares before issuance to 4,579,178,977 shares. The number of domestic shares held by the parent company increased from 2,451,526,000 shares (accounting for about 56.61% of the company's total issued share capital) before the completion of the non-public offering to 2,699,814,977 shares (accounting for about 58.96% of the company's total share capital after completing the issuance). Currently, the Company mainly operates and manages aviation and non-aviation businesses at Beijing Capital Airport. The company's aviation business includes providing aircraft take-off and landing and passenger service facilities, ground support services and fire rescue services for Chinese and foreign air transport companies. By the end of 2023, there were 82 airlines operating scheduled commercial flights at Beijing Capital Airport, including 25 domestic airlines (including Hong Kong, Macao and Taiwan) and 57 foreign airlines. By the end of 2023, Beijing Capital Airport had access to 221 destinations in 49 countries and regions, including 138 destinations within China (including Hong Kong, Macao and Taiwan) and 85 international destinations. The Company's non-aviation business mainly includes licensing other parties to operate at Beijing Capital Airport by means of a franchise: (1) providing ground agency services for Chinese and foreign airlines; (2) providing flight meal delivery services; (3) operating duty-free shops and other retail stores within the terminal; (4) operating restaurants and other catering businesses within and outside the terminal; (5) VIP services in and outside the terminal; (6) advertising space rental and other businesses within and outside the terminal. The Company's non-aeronautical business also includes: self-employment (1) rental of properties in terminals; (2) provision of parking services; (3) provision of ground service facilities for ground service agencies; and (4) revenue from the use of terminal-related resources.
