Ruili Medical & Aesthetic International Holdings Co., Ltd. (the “Company”, together with its subsidiaries, the “Group”) is a leading medical and aesthetic service provider located in Zhejiang Province, People's Republic of China (“China”). Our main business is to provide customers with a wide range of medical and aesthetic services to meet their different beauty and anti-aging goals. We own and operate a network of five private for-profit medical and aesthetic institutions, three of which are located in Zhejiang Province (Hangzhou City and Ruian City in Wenzhou), one in Anhui Province (Wuhu City), and one in Hainan Province (Qionghai City). Our flagship store Hangzhou Ruili Medical Aesthetic Hospital Co., Ltd. (“Hangzhou Ruili”) is our largest flagship store. It was rated as a “5A” medical and aesthetic institution by the China Plastic Surgery Association (“China Plastic Surgery Association”) in 2019, and was successfully awarded a 5A medical aesthetic hospital again in December 2023. The successful completion of the 5A review means that Hangzhou Ruili is at the forefront of hospitals specializing in medical plastic surgery nationwide in terms of internal standardization and management, patient safety, clinical technical strength, and quality of medical services. Our medical and aesthetic services mainly include (i) cosmetic surgery services, including cosmetic surgery to adjust multiple parts of the face or body; (ii) minimally invasive cosmetic services, which mainly include cosmetic injections to beautify or rejuvenate the skin through the mixing or ratio of drugs or injecting a single drug into the skin; and (iii) cosmetic skin services, which mainly include various cosmetic energy diagnosis and photoelectric programs, which can improve problems such as dark yellow skin, facial wrinkles, and sagging skin. At the same time, we also operate medical aesthetic management consulting services. In addition, we also sell medical aesthetic device products. Our subsidiary Shenzhen Jiumei Xinhe Medical Devices Co., Ltd. (“Jiumei Xinhe”) mainly sells Chuzhen facial implants (a Korean e-PTFE (expanded polytetrafluoroethylene) facial implant brand). Jiumei Xinhe is one of three organizations authorized by the Chinese Medical Device Registration Department to import e-PTFE (expanded polytetrafluoroethylene) facial implants. Our subsidiary Suzhou Yonglan Biomedical Technology Co., Ltd. (“Suzhou Yonglan”) has completed the construction of a factory dedicated to the production of skin injection products. The plant area is about 4,660 square meters. It is located in Building 7, Phase 1 of Meddy Medical Device Industry Innovation Port, No. 26, Jinxing Road, Zhangjiagang, Suzhou, China. We have reached cooperation with technical teams from well-known universities in China to jointly develop new skin injection products. Currently, Suzhou Yonglan is in the trial production stage of injectable samples and is actively preparing to apply for registration licenses for three types of medical devices from the State Drug Administration (“State Drug Administration”). We will continue to jointly plan, develop, and manufacture with well-known universities and universities within the United Nations to build a platform for R&D and manufacturing of medical aesthetic device products and consolidate the Group's position as a leading supplier of non-surgical medical and aesthetic service products in the upstream field of the industry. I. Medical beauty services 1. Aesthetic surgery services Our cosmetic surgery services involve providing cosmetic surgery to enhance clients' aesthetic appearance. Cosmetic surgery is invasive and is performed to change the shape of the face or various parts of the body, such as the eyes, nose, chest, and face. Major cosmetic surgeries include: eye diagnosis and treatment to improve the shape and appearance of the eyes or eyelids and correct eyelid deformities, such as double eyelid diagnosis, corner correction, eye bag contouring and eyelid sagging correction; rhinoplasty, which changes the shape of the nose and/or modifies the shape of the nose through implants or cartilage extracted from other parts of the body; breast surgery, breast augmentation, or breast reduction to lift or change the shape of the breast; liposuction/fat transfer, to remove excess adipose tissue in specific parts of the body, and can be further performed according to customer requirements Inject into other specific parts of the body after treatment; and linear plastic surgery, in different parts of the body Bioprotein lines are implanted under the skin to promote skin blood circulation and stimulate collagen production to achieve the effect of lifting and firming specific skin areas and shaping. 2. Minimally invasive beauty services Our minimally invasive cosmetic services provide minimally invasive treatment involving minimal entry into body tissue, no surgical incisions, and a short recovery period. These treatments inject botulinum toxin type A and dermal fillers (hyaluronic acid, collagen, etc.) into various parts of the body and face to reduce wrinkles and/or achieve body or face shaping. The main minimally invasive cosmetic treatments include: injecting botulinum toxin type A to the face, subcutaneous, or muscle layer to reduce wrinkles; and injecting dermal fillers into the face, subcutaneous, or periosteal layer to reduce wrinkles, improve sagging skin and restore skin fullness, with more natural results. 3. Skin beauty services Our skin care services mainly include energy diagnosis and treatment using various forms of energy devices such as lasers, radiofrequency, and intense pulsed light to stimulate collagen regeneration, such as acne and pigment removal, skin rejuvenation, whitening, skin lifting and firming, and hair removal. We strive to provide safe and high-quality skin care services through the use of energy-based devices. All of our major energy devices have been approved by the National Drug Administration for safety and efficacy. Additionally, we have implemented a number of safety procedures relating to the use of the equipment, such as evaluation by our practitioners before putting it into use, provision of operating manuals for employees, and maintenance by the supplier from time to time. 4. Other services We also provide other medical aesthetic services which mainly consist of cosmetic dentistry services. We at Ruili Hangzhou provide cosmetic dental services, focusing on improving the appearance of individual teeth. Our services include orthodontics, dental implants, and teeth whitening. By providing aesthetic dentistry services, we can provide customers with a full range of medical aesthetic services. These services also promote cross-selling of our medical aesthetic services, which we believe can enhance customer experience and increase customer retention. Our cosmetic dentistry services are provided by qualified dentists. In addition to aesthetic dentistry services, we also provide ancillary services, such as anesthesia services, in-patient care services, and medical examination services in several key aspects of the medical aesthetic service process. Generally speaking, we provide anesthesia services during cosmetic surgery procedures. II. Medical beauty management consulting services With our many years of experience in the management of medical aesthetic institutions and our expertise in the sales and marketing of medical aesthetic services, we also provide medical aesthetic management consulting services. This service includes consulting and guidance on online promotion content and operation of medical and aesthetic mini-programs. We have developed an online promotion platform and cooperated with major online platforms. III. Sales of medical aesthetic devices and products We have entered the field of upstream medical device sales in the medical beauty industry, and have gradually begun developing and producing new products. We are committed to selling Chujin facial implants (an e-PTFE facial implant brand imported from Korea) and other surgical implants, medical and aesthetic skin care products. In the future, with the completion of the Suzhou Yonglan Project and the implementation of R&D, we are more inclined to sell skin injection products, such as collagen and hyaluronic acid fillers (Class III). We will conduct market research on these products and set up a new sales network. Primitive expanded polytetrafluoroethylene facial implants are rich in FEP, are stronger, easy to carve, and have good support, and can shape a perfect and realistic nose shape; when the material needs to be removed, it can be completely removed immediately, which is very convenient and does not cause damage. The tissue cells only grow 1 mm, and the material does not harden after using the original product. The gap between the original material is 60 microns, the porosity is larger, tissue and blood vessels are more likely to invade and grow, recover quickly, do not shift, and have better stability. First expanded polytetrafluoroethylene facial implants are available in two hardness series and nearly 100 molded expanded and block specifications. Namely (i) First-true strengthening type: similar in hardness to cartilage, and is used to fill bone tissue such as the bridge of the nose, lower cheek, temporal part, or orbit, and feels realistic and natural; (ii) First-true soft type: feels like soft tissue and is used to fill soft tissues such as the forehead, nasolabial folds, or deep wrinkles. Our “embellishment skincare collection store” is a medical and aesthetic skincare sales platform.
