China Nuclear International Limited (together with its subsidiaries, collectively, “CNNC International”) is a limited company incorporated in the Cayman Islands on June 25, 2002, and its shares have been listed on the Hong Kong Stock Exchange Limited since January 6, 2003. CNNC International is a member of China Nuclear Industry Corporation (“CNNC Group”). CNNC is the only wholly state-owned enterprise in China that has established a complete nuclear science and technology industry system. It is the main investor in China's nuclear power plants, and is a major participant in nuclear power design, construction, operation, nuclear geology and mining, nuclear fuel, nuclear technology application, and nuclear technology equipment supply. The direct holding company of CNNC International is CNNC Overseas Uranium Holdings Limited (“CNNC Overseas”), incorporated in Hong Kong. CNNC Uranium is a key division of CNNC focusing on overseas resources business. The Chinese Government is committed to rapidly developing clean resources, of which nuclear power is an important development. In order to meet the demand of nuclear power for uranium resources, and with CNNC's superior position and rich experience in the field of uranium resources, CNNC International Group actively seeks and expands overseas uranium resources business, develops exploration mineral properties, and participates in uranium resources trade. CNNC became the controlling shareholder of CNNC International (formerly “Kezhu Technology Group Co., Ltd.”) on November 5, 2008. After the capital increase and share expansion on the same day and the issuance of 50 million additional common shares by placing and subscribing shares using old and new methods on July 9, 2009, the market response was enthusiastic, and China Nuclear International has sufficient cash for future development and investment. On June 29, 2009, CNNC successfully acquired 69.5% of the shares of Western Prospector Group Ltd. (“Western Company”), which was listed in Canada at the time. The special shareholders' meeting of Western Company was held on August 14, 2009, and the privatization plan was successfully passed, and Western Company became an indirect wholly-owned subsidiary of CNNC International. The main business of the Western Company is the acquisition, exploration and development of minerals. All of the Western Company's mineral interests (including several uranium and coal projects) are located in Mongolia. In March 2010, CNNC International acquired 37.2% of the shares of Societe des Mines d'Azelik SA (“SOMINA”), a limited company incorporated in the Niger, Africa, from CNNC Overseas. It is the registered holder of a uranium mining license located in the Agadez region of Tchirozerine province in the Niger and the owner of the uranium resources in this uranium mine. This acquisition strengthens the future development of CNNC's supply of natural uranium, and the prospects are very promising. Facing the rich global market for uranium resources, CNNC International made full use of the advantages of overseas platforms to consolidate well-known international suppliers. The CNNC International Group relies on China's vast downstream market, gives full play to the overall advantages of the CNNC Group, seizes the opportunity of China's economy and nuclear power industry's rapid development, implements the strategy of large-scale overseas uranium mining bases, and has built several large overseas uranium mining bases with production capacity over 1,000 tons, which have been in operation for 15 years, and are relatively economical. CNNC International built the first listed uranium resources company in Hong Kong, giving full play to the advantages of Hong Kong's capital market and collaborating scientifically with overseas business and capital market activities. Developing overseas uranium resources business is a key direction of CNNC.
