1. Status of establishment of the company According to information provided by the issuer, the issuer was incorporated in Cayman on May 27, 2004 under the Cayman Companies Act. The name at the time of establishment was Hembly Limited, and it held a “Certificate of Incorporation” issued by the Cayman Companies Registration Office under number CT-136311. On February 25, 2006, the issuer's predecessor, Hembly InternationalHoldings Limited (Hembly International Holdings Limited), registered as an overseas company in Hong Kong under Part XI of the Hong Kong Companies Ordinance. 2. Company survival The company is currently in good standing.
