Zhicheng Development Holdings Limited (previously known as Deson Construction International Group Limited) (the “Group”) was listed on the GEM of Hong Kong Stock Exchange Limited (stock code: 8268) on January 8, 2015. The group's founding company, Dichen Development Co., Ltd. was established in 1988. At that time, it mainly operated construction business in China, including building construction, mechanical and electrical installation and interior decoration projects. At the time, our main customers were large and medium-sized real estate agents in Hong Kong, China involved in real estate development and investment in China. After the Asian financial turmoil in 1997, Hong Kong businessmen reduced domestic real estate development and investment. The Group adapted to the changing times and actively developed the construction business in Hong Kong, China. The Group acquired Jianwen Engineering Co., Ltd., which is mainly engaged in mechanical and electrical engineering contracting business, in 2000 to expand the competitiveness of the Group's construction business in Hong Kong, and is an electromechanical engineering company with a history of more than 80 years, formerly known as “Gilman Engineering Limited (Gilman Engineering Limited)”. Recently, the Group has mainly been engaged in the construction industry as a contractor, operating in Hong Kong and mainland China. According to the industry report dated December 11, 2014, compiled by Ipsos Hong Kong Limited, an independent professional market research company, on the construction industry in Hong Kong, China, and mainland China, based on total industry revenue for the 12 months ended December 31, 2013, the Group ranked 9th as a contractor in providing building construction engineering, electromechanical engineering and decoration engineering in Hong Kong, China, and has a market share of about 0.6%. The Group serves customers through its head office in Hong Kong, China and mainland China offices in Beijing and Shanghai. Where possible, the Group also provides limited temporary services to customers in other regional markets from time to time. Since its establishment, the Group has completed various construction projects and mechanical and electrical engineering projects in Hong Kong, China and many major cities in mainland China, totaling more than hundreds. The Group's main subsidiaries and joint ventures include the following: - Dison Development Co., Ltd. Dison Development Co., Ltd. (“Deson Development”) was the first and main wholly-owned subsidiary of the Group when it was established in 1988, and is mainly engaged in general contract construction engineering business. Currently, Dichen Development holds multiple construction licenses. Dison Development has experienced international engineering management and professional personnel. They are quite aware of various international contract models, specifications and procedure approval requirements (including construction requirements in various parts of China). They have cooperated with many multinational construction companies to construct large-scale projects, and have rich practical experience in cost control and contract management. Dison Development undertakes a wide range of construction business coverage in Hong Kong and mainland China, and undertakes all types of engineering business with a certain degree of competitive advantage. Since its establishment, more than hundreds of construction projects have been completed in Hong Kong, China and many major cities in mainland China. In addition to the above, Dison Development has also completed various large-scale engineering projects as the main contractor, engineering management, design and construction (Design & Build) contractor. Jianwen Engineering Co., Ltd. The business grew out of James H. Backhouse Limited in 1922. After decades of development, it operated under the name Gilman Engineering Limited (Gilman Engineering Limited) in the 80s and developed into one of the largest mechanical and electrical companies in the region, providing comprehensive mechanical and electrical engineering services in the region. Strong Power Engineering Co., Ltd. holds a number of electrical and mechanical engineering licences issued by the Works Division of the Hong Kong Government Development Council and the Buildings Department of the Hong Kong Government of China. Dison Engineering Co., Ltd. Established in 2001, it is mainly engaged in minor engineering and decoration projects in Hong Kong, China, including decoration business for famous international brand stores. Dison Engineering Co., Ltd. holds a full range of minor works licences issued by the Hong Kong Buildings Department, China. Shanghai Dishen Construction & Decoration Co., Ltd The joint venture company was incorporated in Shanghai in April 1993. It has the “Class II Professional Contracting for Building Decoration Engineering” qualification certificate, and is a contractor engaged in decoration and agency design for interior and exterior building projects. Dichen (Macau) Construction Co., Ltd. Dichen (Macau) Construction Co., Ltd. was established in August 2005 in Macau, China, and is mainly engaged in the decoration business of famous international brand stores in Macau, China. Beijing Changdi Building Decoration Engineering Co., Ltd. It is a joint venture between the Group and Beijing Construction Engineering Group registered in Beijing in March 1990. It is currently a subsidiary of the Group. Beijing Changdi holds the “Building Decoration Engineering Professional Contracting Level 1” qualification issued by the Ministry of Construction of China, and also has the “Building Decoration Engineering Design Special Grade A” qualification. A first-level Sino-foreign joint venture mainly engaged in construction and large-scale decoration contracting projects and has project planning and management capabilities.
