Rusty Shackleford 1 : He isn't able to purchase more shares if they are planning to do something major. They would consider it insider trading. He is technically still considered 10% because of the ATM if he has inside info preventing him from purchasing the stock legally

Chronic Line Stepper Rusty Shackleford 1: They have a threshold of time to purchase between now and some pre defined time of the announcement.  To us, the shareholders, its only right for RC to buy more after the recent 35+% dillution.  Mergers take time and rhe right purchase/merger is important.
