Even without the buyout, PENN is a steal.  it about 2x PS.  In addition, that ESPN deal is exclusive, and that alone is worth the MV of the company.
Let me ask you a very logical question.  Why did Disney partner with PENN even though PENN is less established than many of the other sports gambling Co like DKNG?  Maybe because the goal was to have PENN set up everything and buy them out after they are done.

👍fighting over for PENN now.  wait till Disney jumps into the action.    I believe the whole reason why DIS made the deal with PENN is that they think once everything is all setup, they just takeover PENN.
