corbotron OP Flowerhill : a premium would be in favor of shareholder, a placement at 6.1 would be above the closing price of 5.7 . constituting a premium of .4 in favor of shareholders. although if share price closes above 6.1 say at 6.75 it would be a premium in favor of the placement buyer of .65
