$Spirit Airlines (SAVEQ.US)$ I mistakely bought back 1/3 before the release…. whatever, I’ll sell 10% shares that I can sell tomorrow. Then buy back at 0.01.
The trick they do was used by Venator and many cases. They will issue new shares to designated parties with a much much low and unfair price say 0.01 or 0.0001. Not just dilute current shareholders to 10%, but possibly 0.01%. Then they will reverse split to squeeze us out. Note they just proceed with their stupid naive plot. The stupid plot, if not stopped by court, will cause a lot of trouble under Trump’s DoJ.
I think Spirit management hired rookie British lawyers, 1) Such issuing and squeezing out is legal in many places, but 100% illegal in Delaware. Also Delaware say company has to pay minority enough for they shares 2) anything they do under chapter 11 is considered part of case, and can be voided in future trials. Very simple, you cannot sell your house to your child for 1 dollar when you claim bankruptcy.
If you don’t know the rule, check out movie the Social Network. Peter Thief did similiar squeezing out to orginal investors but ends up paying them 200 million something through lawsuit, not enough to their portion but still a fair share.
A dishonest management cannot be trusted at all. They are not businessman any more. They are pirates or bandits.
Just they are too greedy, especially Citadel. I read a few appealing letters who invested their life saving. What if such letters go to table of young congressman, new DAs, or brave journalists. I mean I can recover loss on Spirit through job and investment so I am not desparate. but do you know Luigi?
A really smart way is to offer a buy out at 1 or 2 dollar a share. Then go private. It settles most lawsuit sooner or later. What Citadel does not know is… we can not get much demage from Spirit who does not have the money. However we can get demage from Citadel for wrong doing.
