1. this just comes to my mind that if someone is buying 50% of amc, this 500M is right for them, otherwise there is no need to add so many shares when amc has enough money
2. if the deal dies, this 500M shares will be authorized but not issued which has been explained in the file, i circled this statement below.

I don’t think amc’s CEO will intentionally drive down the price to let Amazon buy it for cheap, right now amc is recovering and no need to sell for cheap
